The application process is divided into several sections.

Contact details for company formation

These details which include name, telephone and fax number as well as a physical address are for the person applying for the company. They may or may not be that of the registered office of the company and are often the contact details of an accountant or lawyer.

Company name

Enter your first and second choice company name. If the names you request are unavailable we can help you with suggestions for alternatives.

Number of directors

You will need to have decided how many directors you wish to appoint. Use the drop down list to choose a number up to 10 - you will be asked later for their name and address details.

Shareholders, share numbers and classes

As with the directors you will need to indicate the total number shareholders you wish to have. You will also need to know the nature of the shares. You can choose from 3 classes and give each class it's own value. Most companies are formed with either 100 or 1000 $1 NZD ordinary shares.

Directors and shareholders details

Make sure that you have the name and physical address details for all the directors and shareholders. For the shareholders you will also need to consider how many shares each will own and, if you have multiple classes, what class.

Company address details

There are three address details for the company that you will need to have on hand. The registered office and the address for service - which are both physical addresses - as well as a postal address that can be used for communications from the Registrar.

Constitutional details

The on-line forms are completed with default values. It is recommended that you accept the defaults unless you have a particular reason to alter them. We have provided an area where you can detail any other special constitutional requirements that you may have.
